NEW YORK, Aug. 11, 2026 /PRNewswire/ — LivePerson (NASDAQ: LPSN) (“LivePerson” or “the Company”), a leading provider of predictable conversational AI, today announced that the LivePerson Board of Directors has issued a formal letter urging stockholders to vote “FOR” the Company’s pending acquisition by SoundHound AI, Inc. (NASDAQ: SOUN).
A Special Meeting of Stockholders to vote on the merger is scheduled for August 20, 2026, at 10:00 a.m. Eastern Time. The LivePerson Board of Directors unanimously recommends that stockholders vote “FOR” the transaction, and leading independent proxy advisory firm Glass Lewis support the Board’s recommendation.
LivePerson encourages stockholders to predicate their vote on the following facts:
- A vote “FOR” the transaction is a vote in favor of exchanging shares at an attractive premium for shares in a company with a strong balance sheet and future potential upside.
- A vote “AGAINST” the transaction, or no vote at all, potentially exposes stockholders to the significant risks associated with continuing as a standalone company as disclosed in LivePerson’s proxy filing, including the risks of continued slowing or degradation of LivePerson’s business given commercial headwinds from the Company’s standalone financial profile, potential delisting from the Nasdaq, and potential inability to service or repay LivePerson’s substantial debt and/or comply with debt-related financial covenants, which could eventually lead to reorganization, in which stockholders would in all likelihood receive no value for their shares.

The Choice is Clear: Premium Value vs. Severe Standalone Risk
Option 1: Premium Value and Potential Future Upside for Stockholders
- Most stockholders will receive SoundHound common stock representing a value of approximately $3.33 per share as of the April 21, 2026 announcement – a 22% premium over LivePerson’s 30-day volume-weighted average price prior to such announcement. SoundHound has stated that, assuming the transaction closes in the second half of 2026, it expects an achievable combined revenue range of at minimum $350 million to $400 million in 2027, scaling to $500 million based on the existing customer base alone.

Option 2: Severe Risks as a Standalone Company
- Given its significant debt burden and lack of access to capital markets, LivePerson faces a substantial risk of an inability to repay or refinance its existing debt when due.
- LivePerson’s revenue dropped 22% in 2023 due to customer attrition, and commercial headwinds have persisted through 2024 and 2025, with turnaround progress slower than expected.
- The risks of continued slowing or degradation of LivePerson’s business given commercial headwinds from the Company’s standalone financial profile, potential delisting from the Nasdaq, and potential inability to service or repay LivePerson’s substantial debt and/or comply with debt-related financial covenants, which could eventually lead to reorganization, in which stockholders would in all likelihood receive no value for their shares.
